Business model
Business activities
GBS PRIVATE LTDA intermediates operations between three groups of counterparties and processes the orders arising from them. This page describes who those counterparties are, what the company does between them, how an order is processed end to end and where revenue comes from.
The counterparties
Platforms
Digital environments that originate demand and forward orders. They define the contracted product or service, the price charged to the end recipient and the fulfilment conditions.
Players
Suppliers and operators that perform the subject matter of the order. They answer for availability, conformity and the characteristics of what is supplied.
Warehouses
Logistics operators responsible for custody, picking and physical dispatch of goods, and for issuing outbound records.
GBS PRIVATE LTDA belongs to none of these three groups. It does not operate a platform of its own, is not the supplier of the subject matter of the order and holds no storage facility. The company is the intermediate party that makes the three layers work on the same information.
What GBS does between them
The company's function is to convert an order originated on a platform into executable instructions for the player and the warehouse, and to return to the platform confirmation of what was actually performed. This work comprises verification of the consistency of order data, checking the eligibility of the destination, routing to the correct player and warehouse, monitoring of deadlines, handling of exceptions and final reconciliation between the recorded order and the fulfilled order.
The company keeps a documentary record of each stage. That record is the input to the internal control routines described on the Governance and compliance page and the basis of the information provided to counterparties, auditors and authorities.
Order flow
Receipt
The platform forwards the order to GBS PRIVATE LTDA with the data of the contracted item, the destination and the fulfilment conditions.
Validation
The company verifies the integrity and consistency of the data, confirms that the counterparty is registered and cleared, and checks the eligibility of the destination against internal policies and applicable law.
Routing
The validated order is routed to the player responsible for supply and to the warehouse responsible for dispatch, with the instructions and deadlines applicable to each.
Execution and monitoring
The warehouse picks and dispatches the goods to the end recipient. The company monitors execution, records events and handles exceptions such as stock discrepancy, invalid address or failed delivery.
Reconciliation
Once the operation is complete, the company reconciles the recorded order against the fulfilled order, consolidates the supporting records and returns confirmation of the outcome to the platform. The record is archived for the statutory retention period.
Source of revenue
The revenue of GBS PRIVATE LTDA derives from the processing of intermediated orders. Remuneration is due for the provision of the intermediation and processing service, under the commercial terms agreed in writing with each counterparty, and is calculated by reference to the orders actually processed in the relevant period.
The company earns no revenue from the sale of the goods circulating in the intermediated operations, as it does not own them, and does not remunerate its activity through a price difference charged to the end recipient. Revenue is recorded in the company's accounts and supported by tax documents issued in accordance with Brazilian law.
[TO BE CONFIRMED: remuneration model in force — percentage of order value, fixed amount per processed order or a mixed model — and invoicing frequency, per current contracts.]
[TO BE CONFIRMED: invoicing currency and settlement method for operations with counterparties abroad.]
